Major projects

Regija Borenius represented the seller in one of the biggest land transfers of 2005 in Lithuania, the value of which exceeded € 13,000,000.  

Recently experts of Regija Borenius performed a complete Legal Due Diligence of a major local provider of electronic payment processing services in connection with acquisition of it by First Data International, one of the global leaders in electronic commerce and payment processing market.

Regija Borenius served as a legal advisor to a client in the acquisition of a closed plant for the purpose of constructing new residential buildings in the area and for the financing of this acquisition. The transaction had a value of €1,730,000.

Regija Borenius served as a legal advisor to a major Lithuanian construction company involved in the acquisition of the foundations of three buildings from an insolvent entity. The transaction, which amounted to €1,550,000, enabled the entity to pay off existing debt and the client to acquire property under favourable conditions.

Regija Borenius locally performed a Legal Due Diligence of the seller in purchase of the pre-insulated pipes business in 10 European countries including Lithuania.

Among other recent M&A and Legal Due Diligence experience, Regija Borenius may boast representation of acquirer’s interests in Lithuania throughout a Community-wide acquisition in the packaging production sector.

Regija Borenius represented the Microlink group in preparation of its Lithuanian subsidiary for the acquisition of its shares by AB “Lietuvos telekomas”.

Regija Borenius represented the owners of the biggest Lithuanian shop fittings’ producer AB “Novena” in the sale of their controlling block of shares to the Lithuanian subsidiary of LHV [investment banks’] Group (Lohmus, Haavel & Viisemann).

Regija Borenius assisted one of the biggest European supermarkets’ operators with respect to corporate restructuring of its subsidiary in Lithuania.

In the process of restructuring of the activities in one of the biggest Lithuanian furniture manufacturers, Regija Borenius acted as a legal counsel for all group companies in changing the corporate structure, authorized capital and the responsibility scheme among the companies involved.
